What is an Annual General Meeting (AGM)?

An AGM is where an association formally reports to it’s membership regarding the business conducted during the year, votes on a Board of Directors and the pass of any pending resolutions.

2024 AGM Agenda Outline – What happens at the AGM?

The NSMBA will present accomplishments during 2024 and the vision for 2025 and beyond. There will also be a vote to determine the 2025 Board of Directors.

The meeting is open to the public, but only current members will be eligible to vote for the board of directors.

Board of Directors Elections

The Board of Directors consists of up to 12 members, elected at the AGM by NSMBA members. Each Director serves for 2 years, at which point they can seek re-election. This year, 2 directors are seeking re-election, and 7 spots are open.

As the AGM will be hybrid format this year, all voting will be done through Member365. More details on how the voting process works in Member365 will be posted prior to the AGM.

2024 Special Resolution to Revise Bylaw 3.9: Reduction of AGM Quorum from 3% to 1%

The proposed 2024 Special Resolution – Amendment of Bylaw 3.9 is a significant step towards enhancing the efficiency of our operations. By amending Bylaw 3.9 and reducing the quorum requirement for our Annual General Meeting (AGM) from 3% of eligible voting members to 1%, we can effectively address the challenges we’ve faced in recent meetings. This change promises a more streamlined and effective decision-making process for our organization.

Rationale for the Change:

  1. Membership Growth and Quorum Challenges: The good news is that we’ve reached our highest number of members ever, totalling 3,507. However, with a 3% quorum requirement, we currently need 105 members to attend our AGM to conduct business. While this growth is a positive sign for our organization, it continues to make meeting quorum more challenging. Reducing the quorum to 1% would mean needing just 35 members to proceed, making it easier to meet the requirement.
  2. Ensuring Governance Continuity: Regular AGMs are crucial for electing directors, approving financial statements, and discussing other key governance matters. Reducing the quorum to 1% ensures continuity in these critical governance functions, even when member turnout is low.
  3. Promoting Inclusive Decision-Making: Reducing the quorum does not diminish the value of member participation. Members are still strongly encouraged to attend and engage in the AGM. Instead, it ensures that decisions can be made without undue procedural hurdles while providing ample opportunity for members’ voices to be heard.
  4. It’s important to note that many organizations similar to ours have quorum requirements at or around 1% for their AGMs. By aligning our organization with these common practices, we can better reflect the typical member engagement levels and ensure that our quorum requirement is reasonable and achievable.

It will ensure that our organization operates more smoothly and remains responsive to its governance needs while preserving the integrity of the AGM process. This change will support our long-term stability and allow us to serve our members better.
